Welcome to smallbusinesscan, a network for aspiring and successful businesspeople and entrepreneurs. The smallbusinesscan service and network (collectively, the “smallbusinesscan engagement platform Service”, or the “Service”) is operated by The Drive4Growth Company Limited (collectively, “us”, “we” or “smallbusinesscan”). By accessing or using our web site at www.smallbusinesscan.com or www.smallbusinesscan.co.uk (collectively, the “Site”), you (the “user” or “you”) signify that you have read, understand and agree to be bound by these Terms of Use (“Terms of Use” or “Agreement”), whether or not you are a registered member of smallbusinesscan.

We reserve the right, at our sole discretion, to change, modify, add, or delete portions of these Terms of Use at any time without further notice. If we do this, we will post the changes to these Terms of Use on this page and will indicate at the top of this page the date these terms were last revised. Your continued use of the Service or the Site after any such changes constitutes your acceptance of the new Terms of Use. If you do not agree to abide by these or any future Terms of Use, then do not use or access (or continue to use or access) the Service or the Site. It is your responsibility to regularly check the Site to determine if there have been changes to these Terms of Use and to review such changes.

Eligibility

Membership in the Service is void where prohibited by law. It is not available to users (which term shall comprise both Browsers and Registered Members, each as hereinafter defined) who have been suspended or removed from the Service for any reason.

Registration Data

Registration as a member of the Service is free, subject to the completion and submission of the registration forms contained in the Site. Registered Members are entitled to access certain content that is unavailable to other visitors to the Site (“Browsers”), which content may vary in extent and nature from time to time at the sole discretion of smallbusinesscan. 

By completing and submitting the registration form in the Site, Registered Members indicate their consent to be bound by such terms of this Agreement as expressly apply to Registered Members only (and not just to Browsers). For the avoidance of doubt, Browsers are bound by the terms of this Agreement by their use of the Site as if they had signed this Agreement, save for such terms as expressly apply to Registered Members only. 

When you register as a Registered Member, you will be asked to choose a username and a password for your member profile. You are solely responsible for maintaining the confidentiality of your password. You agree not to use the member profile, username, or password of another Registered Member at any time. You agree to notify us immediately if you suspect any unauthorised use of your (or any other Registered Member’s) member profile or access to your (or any other Registered Member’s) password. We reserve the right to refuse to grant you a username that we consider inappropriate for any reason, as determined by us in our sole discretion. You are solely responsible for any and all use of your member profile and agree to indemnify and hold us and this Site harmless in relation to all actions, claims and proceedings (including but not limited to attendant legal action, disbursement of fees or costs arising therefrom) in relation to all matters arising from third party use of your password and login where such third party accesses the Site on your instruction or as a result of negligence on your part. 

In the case of Registered Members, in consideration of your/their use of the Service and the Site, you agree to (a) provide accurate, current and complete information about yourself /themselves as may be prompted by any registration forms on the Site (“Registration Data”); and (b) maintain the security of your password and identification; (c) maintain and promptly update the Registration Data, and any other information you/they provide to smallbusinesscan, to keep it accurate, current and complete; and (d) be fully responsible for all use of your account.

Under no circumstances will smallbusinesscan provide member data to outside parties for other purposes.

Intellectual Property

All materials incorporated in or accessible through the Site, including, without limitation, text, photographs, images, graphics, illustrations, logos, button icons, audio clips, video clips, software, and other content, and the compilation, collection, arrangement, and assembly thereof (including the look and feel of the Site), are protected by Irish and international copyright laws, and are owned, controlled or licensed by smallbusinesscan, or by the original creators of such materials or their permitted licensors. All such rights are reserved. Such materials may be used only for viewing the Site in the ordinary course or as a resource for purchasing the products and/or services offered through the Site. Any other use of such materials, including any copying, reproduction, modification, sale, distribution, extraction, re-utilisation, transmission, republication, downloading, display, posting, performance, or other exploitation thereof by any means or medium without the prior written permission of the copyright owner is strictly prohibited. All trademarks on this site may not be used without our prior written permission. 

All material contained in and published on the Site by smallbusinesscan is intended for non-commercial use of the user. Subject to these Terms of Use, we grant you a non-exclusive, non-transferable, limited right to access and use the Site and the material displayed thereon. However, no right, title, or interest in any such materials will be granted or transferred to you as a result of any permitted use of such materials. You may print off one copy, and may download extracts, of any page(s) from the Site for your personal reference and you may draw the attention of others to material posted on the Site. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text. Our status (and that of any identified contributors) as the authors of material on the Site must always be acknowledged. You must not use any part of the materials on the Site for commercial purposes without obtaining a license to do so from smallbusinesscan or our licensors. If you print off, copy or download any part of the Site in breach of these terms of use, your right to use the Site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

User Conduct

You understand and agree not to use smallbusinesscan to:

  • Upload, post, email, transmit or otherwise make available any content or initiate communication that infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights.
  • Upload, post, email, transmit or otherwise make available any unsolicited or unauthorised advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation. This prohibition includes but is not limited to a) Using the Service invitations to send messages to people who do not know you or who are unlikely to recognise you as a known contact; b) Using the Service to connect to people who do not know you and then sending unsolicited promotional messages to those direct connections without their permission; and c) Sending messages to distribution lists, newsgroup aliases, or group aliases.
  • Upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
  • Stalk or harass anyone.
  • Forge headers or otherwise manipulate identifiers in order to disguise the origin of any communication transmitted through smallbusinesscan.
  • Post content in fields that aren’t intended for that content. Example: Putting an address in a name or title field.
  • Interfere with or disrupt smallbusinesscan or servers or networks connected to smallbusinesscan or disobey any requirements, procedures, policies or regulations of networks connected to smallbusinesscan.
  • International Use
  • Recognising the global nature of the Internet, you agree to comply with all applicable local rules including but not limited to rules regarding online conduct and acceptable content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the Republic of Ireland or the country in which you reside.

Information Provided on this Website

In the course of using the smallbusinesscan Service, users may provide information about themselves which may be visible to certain other users (see our Privacy Policy Statement to learn more about information collected on this website). You understand that by posting materials on www.smallbusinesscan.com or otherwise providing materials to smallbusinesscan, you are granting to smallbusinesscan a royalty-free, perpetual, irrevocable, sub-licensable worldwide licence to use this information in the course of offering the smallbusinesscan Service. Access to service

Use of manual or automated software, devices, or other processes to “crawl” or “spider” any web pages contained in the smallbusinesscan website is strictly prohibited. You agree not to monitor or copy, or allow others to monitor or copy, our web pages or the content included herein. You also agree not to “frame” or otherwise simulate the appearance or function of this website. In the course of providing you services, smallbusinesscan may need to communicate with you via email (see our Privacy Policy Statement to learn more about communications). You agree to receive emails which are specific to your account and necessary for the normal functioning of the smallbusinesscan Service. You also agree to have your name and/or email address listed in the header of certain communications which you initiate through the smallbusinesscan Service.

Monitoring and Enforcement

While we have the right to monitor activity and content associated with smallbusinesscan, we are not obligated to do so. Under no circumstances will we be liable in any way for any content, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of, access to, or denial of access to any content on the website. 

If you feel that any content on the Site has directed libel or defamation towards you or that your legal rights have been in any other way infringed (including but not limited to intellectual property rights), or any person or entity related to you or to any other third party, or that these Terms of Use have been infringed in any way, there are two ways to report it to us:

(a) There is a link to the contact page at the bottom of every page on the Site. This will lead you to a contact form in which you can select complaint as your reason for contacting us
(b) In the forum there is a Report link that will bring you to a similar complaints page, but will target the specific comment that you wish for us to review in the context of it constituting potentially offensive or infringing material.

In the case of either (a) or (b) above, please supply us with as much information as possible, and we shall respond, using our reasonable discretion with a view to ensuring that damages are limited, by editing or removing content that we reasonably consider to be offensive or infringing. If necessary, the Registered Member who posted the offensive or infringing content will be banned or suspended from the Site to limit the possibility of any further offensive or infringing content being posted. 

Notwithstanding that we will endeavor to address all complaints as we deem fit in accordance with the foregoing, the limitations of liability described above and elsewhere in these Terms of Use shall to the fullest extent permitted by law apply to any acts or omissions by us in respect of any complaints we receive.

Indemnification

By accepting this User Agreement, you agree to indemnify and otherwise hold harmless The Drive4Growth Company Limited, its officers, employees, agents, subsidiaries, affiliates and other partners from any direct, indirect, incidental, special, consequential or exemplary damages resulting from i) your use of the smallbusinesscan Service; ii) unauthorised access to or alteration of your communications with or through the smallbusinesscan Service, or iii) any other matter relating to the smallbusinesscan Service. Any business transactions which may arise between users from their use of smallbusinesscan are the sole responsibility of the users involved. 

Without limitation of the terms and conditions set forth in our Privacy Policy Statement, you understand and agree that smallbusinesscan may disclose personally identifiable information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to comply with legal process, enforce this User Agreement, or protect the rights, property, or safety of smallbusinesscan, its users, and the public.

Disclaimer of Warranties

YOU UNDERSTAND AND AGREE THAT THE SMALLBUSINESSCAN SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND THAT SMALLBUSINESSCAN DOES NOT ASSUME ANY RESPONSIBILITY FOR PROMPT OR PROPER DELIVERY, OR RETENTION OF ANY USER INFORMATION OR COMMUNICATIONS BETWEEN USERS. SMALLBUSINESSCAN ASSUMES NO RESPONSIBILITY FOR THE ACCURACY OR EXISTENCE OF ANY COMMUNICATIONS BETWEEN USERS. SMALLBUSINESSCAN EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. 

SMALLBUSINESSCAN MAKES NO WARRANTY THAT (i) THE SMALLBUSINESSCAN SERVICE WILL MEET YOUR REQUIREMENTS, (ii) THE SMALLBUSINESSCAN SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SMALLBUSINESSCAN SERVICE WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SMALLBUSINESSCAN SERVICE WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SMALLBUSINESCAN SERVICE IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM SMALLBUSINESSCAN OR THROUGH OR FROM THE SMALLBUSINESSCAN SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS USER AGREEMENT.

 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT SMALLBUSINESSCAN SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF SMALLBUSINESSCAN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Termination

www.smallbusinesscan.com may terminate your membership, delete your profile and any content or information that you have posted on the Site or through any platform application and/or prohibit you from using or accessing the Service or the Site or any platform application (or any portion, aspect or feature of the Service or the Site or any platform application) for any reason, or no reason, at any time in its sole discretion, with or without notice, including if it believes that you are breaching any provisions of these Terms of Use.

Governing Law; Venue and Jurisdiction

www.smallbusinesscan.com has been created and is controlled by smallbusinesscan. These Terms of Use will be governed by, and construed and enforced in accordance with, the laws of Republic of Ireland or Northern Ireland, which choice shall be at the sole option of smallbusinesscan in respect of any dispute or claim which may arise between the parties. You hereby unconditionally and irrevocably submit to the exclusive jurisdiction of the courts of whichever jurisdiction smallbusinesscan chooses in respect of such a dispute or claim. Those who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with applicable local laws.

Other

These Terms of Use constitute the entire agreement between you smallbusinesscan regarding the use of the Site and/or the Service, superseding any prior agreements between you smallbusinesscan relating to your use of the Site or the Service.
